What We Do
Atlantic Republican Women’s Network
March 2008
Article I   Name

The name of this organization shall be Atlantic Republican Women’s Network.

Article II  Objectives
The objectives of this organization shall be:
A.        Develop an outreach program to expand our Republican base to reflect the diversity of our Country.
B.        Educate women on local, state and national issues.
C.        Raise the level of debate on the issues to include the voice of Republican women.
D.        Promote the election of qualified Republican women candidates to positions of leadership and enhance recruitment of
women as candidates.
E.        Provide comprehensive campaign training and candidate development programs for qualified Republican candidates.
F.        Advocate for the passage of legislation important to the security and well being of all American citizens.

Article III   Active Membership
Section 1
Any woman, who believes in the principles of the Republican Party and intends to support its candidates is eligible for
membership.
A.         Active Members
1.        Shall be a registered Republican
2.        Have paid club dues in year of membership
3.        Shall have the privileges of voting, participating in debates, serving on committees and holding office.
B.        Associate Members
1.        Women Associates may include women who are Active members of another Network Club.
2.        Men Associates may include any Republican men.
C.        Associates shall not:
1.        Make a motion
2.        Have a voice or vote
3.        Be a committee chairman
4.        Be a member of the nomination committee or hold any office

Section 2
This organization shall be a member of the Florida Republican Women’s Network.

Section 3
Only members in good standing, and who are duly qualified Republican voters in Volusia County, who vow to support
Republican candidates in partisan and non-partisan races, shall be eligible to hold office.

Article IV   Officers and Their Duties
Section 1
The elected officers shall be President; First, Second and Third Vice Presidents, Recording Secretary; Corresponding Secretary;
Treasurer and Assistant Treasurer.  

Section 2
The duties of the President shall be:
(a)        Preside at all meetings of the Club and have general supervision of the work and activities of the organization.
(b)        Appoint chairwomen of all Committees, except the Nominating Committee, subject to approval by the Executive
Committee.
(c)        Be ex-officio member of all Committees except the Nominating Committee.
(d)        Sign checks in emergency and/or inability of the Treasurer.
(e)        Represent the organization at all times or designate someone as representative in her absence.
(f)        Serve as coordinator between Atlantic Republican Women’s Network and the Florida Network.

Section 3
The duties of the First Vice President shall be to perform in the absence of the President or her inability to serve and shall fill
vacancy in that office.  The First, Second and Third Vice Presidents shall perform such other duties as assigned by the
President.

Section 4
The Recording Secretary shall keep minutes of all meetings and be custodian of records and papers of the Club.

Section 5
The Corresponding Secretary shall conduct the correspondence of the Club as requested and retain copies of all
correspondence.

Section 6
(a)        The Treasurer shall be custodian of all funds, receive and disburse all monies, report at regular meetings and report in
full at the Annual Meeting.  The Assistant Treasurer shall perform such duties necessary by the Treasurer.
(b)        Keep an up-to-date roster of membership and their dues and send out notices of unpaid dues.
(c)        Prior to Feb 1st of each year forward required dues and fees to FFRW and NFRW, as required in the Bylaws of the
Florida Network.
(d)        Books of the Treasurer shall be audited annually.  

Section 7
The duties of the Assistant Treasurer shall be to perform in the absence of the Treasurer or her inability to serve and shall fill
vacancy in that office.  

Section 8
Officers and Chairmen shall deliver all records, files and properties of the Club, to their successors in office, within one month
after retiring from office.

Article V   Executive Committee and Board of Directors
Section 1
The Executive Committee shall:
(a)        Consist of all elected officers and immediate past president                                                 
(b)        Meet monthly, prior to the general meeting at the call of the President, or the request of a majority of their committee.
Section 2
The Board of Directors shall:
(a)        Consist of the elected Officers and Standing Committee Chairs. Special Committee Chairs shall be ex-officio members
without a vote.
(b)        Have authority to transact necessary business between regular Club meetings; make recommendations as to policies;
advise the President and fill vacancies by a majority vote of those present and voting for all offices except that of President.
(c)        File a Summary of term with the Recording Secretary at the January Meeting.

Section 3
Vote of the Executive Committee may be in meeting, by mail, e-mail or conference call.

Article VI   Nominations and Elections
Section 1
A Nominating Committee of three (3) members shall be elected at the October general meeting:  only one (1) from the
Executive Board, who will serve as Chairwoman, and two (2) from the general membership.  At the November general
meeting the names of the candidates shall be read, their written consent to serve having been obtained.  At the November
meeting further nominations may be made from the floor, provided the nominee has given written consent to the President to
serve if elected.  The nominated slate shall be published in the December newsletter.

Section 2
Election and installation shall be held at the December meeting.  

Section 3
No officer shall serve more than two (2) consecutive terms in the same office, but shall serve until a successor is elected and
qualified.

Section 4
The term of office shall be defined as one year.

Section 5
Only members in good standing, prior to the December meeting, shall be eligible as a candidate or entitled to vote.

Section 6
Election shall be by ballot and majority of those present and voting shall elect.  In the event there is only one candidate for an
office, and if no objection, vote may be made by acclamation.

Section 7
The term of Club officers shall begin in January and go through December.

Article VII   Fiscal Year

The fiscal year of this Club shall be from January 1 to and including December 31.

Article VIII   Quorum
Section 1
(a)        A quorum shall be a majority of the voting body of the Executive Committee and Chairs of Standing Committees and
must be present in order to transact business.
(b)        Nine (9) members shall constitute a quorum for all meetings of the Board of Directors, at least four (4) of whom shall
be elected Atlantic Republican Woman’s Network officers.

Section 2
A quorum of at least 20% must be present in order to transact business at any and all meetings of the Club.


Article IX   Dues
Section 1
Dues shall be $25.00 per year for active members and $20.00 for associates, payable upon application and qualification for
membership.

Section 2
Due are payable on or before January 1 and delinquent after March 1.

Article X   Meetings
Section 1
Regular monthly meetings shall be held on the fourth Friday of each month, unless otherwise notified.  At least six (6) regular
meetings shall be held in each calendar year.

Section 2
The Annual Meeting shall be held in January for the purpose of receiving reports of officers and committee chairwomen and
for any other business deemed necessary.

Article XI   Committees

Section 2
The duties of the Standing Committees shall be those set forth by State and National Network, as well as by local standards.

Section 3
Additional Standing Committees and duties thereof may be added, if and when deemed necessary by the Executive Committee.

Section 4
Special Committees may be appointed by the President, if and when necessary, subject to approval by the Executive Committee.




Article XII   Delegates and Alternates
Section 1
Delegates and Alternates to all State and National Network Conventions and Conferences shall consist of the President and as
many as provided in the Bylaws of State and National Network.

Section 2
Delegates and Alternates shall be members in good standing and shall be nominated from the floor and duly elected at the
regular monthly meeting of the Club, or special called meeting for that purpose, at least two (2) weeks prior to the Convention
and Conference.

Article XIII   Parliamentary Authority

Robert’s Rules of Order, Newly Revised, or the latest edition thereof, shall govern Atlantic Republican Women’s Network in
all instances where they are applicable and in which they are not inconsistent with these Bylaws or those of the State or
National Network Bylaws.

Article XIV   Amendments

These Bylaws may be amended by a two-thirds vote of those present and voting at any regular meeting, provided notice of the
proposed amendment or amendments has been given at the previous meeting.  These Bylaws may be revised by the same
standards.

Standing Rules

1.  Original receipts of bills for expenditures shall be presented to the Treasurer before reimbursement.
2.  The Treasurer shall furnish a monthly report.
3.  Chairwomen of committees, except the Nominating Committee, may select members of their committees.
4.  The expenses of the President or one serving in her capacity attending a Conference or Convention shall
be paid at the discretion of the Executive Board.
5.  All registered Republicans running for office in a general election should be given consideration relative to support
and subject to ratification by the Executive Committee.
6.  All requests for money be referred to the Executive Board before being recommended to the general membership.
7.  The microphone and/or podium shall be used exclusively by Republicans.
